Responding to Shareholder Opposition to Executive Compensation and Governance: The New Rules for Engagement

 

Companies’ executive compensation programs have evolved since the advent of Say on Pay in 2010. In that time, the evaluation methodologies and approaches of proxy advisors and institutional investors have also evolved. Further, the focus on corporate governance has heightened, and issues such as director term limits, diversity, and ESG are front and center.

This panel will explore recent trends in companies’ challenges with Say on Pay and corporate governance, key changes in proxy advisor methodologies, and tips and lessons learned from recent shareholder engagement efforts on executive compensation and governance issues.
